NYROX Terms
of Service

1

Acceptance of Terms

These Terms of Service ("Terms") govern your use of the NYROX application ("NYROX", "the Service") operated by NYROX ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 years old and legally capable of entering into binding agreements.

2

Definitions

"Lifetime Unlock" means the one-time premium licence described in Section 7. "Lifetime" refers to the lifetime of the NYROX product as offered at the time of purchase — not your personal lifetime, the lifetime of your account, or a guarantee of perpetual availability. "Encrypted Data" means household records that are encrypted on your device before transmission. "DEK" means the Data Encryption Key used to encrypt your records, which is derived from your password and stored only in wrapped (encrypted) form on our servers.

3

Licence Grant

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use NYROX for lawful household administration purposes. This licence does not include any right to resell, sublicense, modify, reverse-engineer, decompile, or create derivative works from the Service. The free tier permits up to 7 stored items with no time limit.

4

Your Account & Security

Your password protects the key that encrypts your records. It is not only how you sign in: the key that unlocks your vault is derived from it on your device, and we never receive or store your password or the usable key. Nobody at NYROX — not us, not our staff and not our hosting provider — can open your vault, read your records or reset your way back into them.

If you lose or forget your password, your encrypted records cannot be recovered, by us or by anyone else. Resetting your password gives you a working login to an empty account; records encrypted under your old password stay unreadable permanently. Your verification code proves you own the account when you contact support, but it does not restore data.

You are responsible for keeping your password, device PIN and verification code confidential, for securing the devices you use NYROX on, and for all activity under your account. We recommend exporting your records regularly. You acknowledge and accept this risk of permanent data loss as an inherent consequence of the zero-knowledge design.

5

Privacy & Data

NYROX uses end-to-end encryption: your household data is encrypted on your device before it reaches our servers, and the encryption key is derived from your password. We cannot read, decrypt, or access your encrypted records. We do not sell, share, or transfer your data to third parties for marketing purposes. Anonymous usage analytics may be collected to improve the Service. Full details are set out in our Privacy Policy, which is incorporated into these Terms by reference.

6

Acceptable Use

You agree to use NYROX for lawful household administration purposes only. You may not use the Service to store unlawful content, infringe on others' rights, attempt to compromise the security of the platform, scrape or automate access to the Service, or share or sell access to your account. We reserve the right to suspend accounts that violate these Terms.

Pricing, Lifetime Unlock & Family Plan

NYROX operates a transparent, privacy-first model:

(a) Free Tier: Allows up to 7 stored household items across all categories with no time limit.

(b) Individual Lifetime Unlock: A one-time payment of £39 (GBP) or $49 (USD) granting perpetual single-user access to every core feature as offered at the time of purchase. It is non-transferable and does not incur any recurring subscription fees. The price in effect at the time of purchase is the price you pay; we may change the price for future purchasers, but any change does not affect an unlock already purchased.

(c) Family Plan Add-On (£24/year or $30/year): An optional annual subscription that allows an unlocked primary account holder to link one partner or household member. The invited member receives full premium access without paying the £39/$49 fee. Both accounts can selectively share records (bills, sinking funds, assets, ICE emergency records) via a Zero-Knowledge Family Vault. The Family Plan renews automatically each year until cancelled. You may cancel the Family Plan at any time via Settings, with cancellation taking effect at the end of the current paid billing period. No refunds are provided for partial billing periods.

Upon cancellation, the primary user retains their £39/$49 Lifetime Unlock. The linked member's account is not closed, suspended or deleted: it reverts to the free tier (7-item cap, without Sinking Funds, the NYROX Audit or the ICE Vault), and their own records remain theirs.

Notice to the linked member: the linked member is notified in the app when the plan is cancelled, stating the date their shared access ends, and again on the day the plan ends. Neither notice requires any action by, or the co-operation of, the primary account holder.

Reclaim window and a member's own copy: records a linked member created and marked as shared were re-encrypted with the shared Family Key. After the plan's end date that member may reclaim any such record — re-encrypting it with their own personal key so it remains readable on their own account indefinitely. The reclaim window is 14 days where the primary account holder cancelled the plan, and 90 days where the plan ended because payment failed (including where the primary account holder has died), because in that case neither party chose the date. Reclaiming is performed by the member alone, on their own device, and cannot be prevented, reversed or delayed by the primary account holder. At the end of the applicable window the Family Key is withdrawn from the member's account, and any record still marked as shared can no longer be decrypted by them; this is a consequence of the zero-knowledge architecture and is irreversible. Records the member did not share are unaffected. The primary account holder retains the records they themselves created, together with any shared record the member has not reclaimed; a record the member reclaims is re-encrypted under that member's own key and leaves the shared vault, so the primary account holder can no longer read it. Either party may also export their own readable records at any time via Settings.

(d) Referral Scheme: Users with a referral code may share it with others. When a referred user purchases a Lifetime Unlock (£39/$49), the referrer earns a £10 (or local-currency equivalent) credit applied as a one-time discount to their next Family Plan renewal. Referred users receive a £5 (or local-currency equivalent) discount on their Lifetime Unlock purchase. Credits are held for 30 days (the goodwill refund window) before being released; if the referred purchase is refunded within that window, no credit is applied. Credits are rolling and one-time — they do not permanently reduce the subscription rate. Once exhausted, the subscription normalises to the standard rate. A maximum of 10 referral credits may be earned per rolling 12-month period. Credits have no cash value, cannot be transferred, and are void upon account termination. Abuse of the referral scheme (self-referrals, fraudulent accounts, or coordinated fraud) will result in credit forfeiture and account suspension.

8

Refunds

We offer a voluntary 30-day goodwill refund from the date of purchase, no questions asked. This is more generous than your statutory rights and does not affect those rights. Where a discount or referral credit was applied to your purchase, the refund is limited to the amount you actually paid (the discounted price), not the full list price. To request a refund, contact us at Info@nyroxapp.com. Upon refund, your account reverts to the free tier (7-item cap), premium features are disabled, and any referral credit earned from the refunded purchase is voided. After 30 days, all sales are final. The free tier has no time limit.

9

NYROX Audit & Not Financial Advice

NYROX may offer a household audit feature ("NYROX Audit"). Any output from this feature is general information only — it is not financial, tax, investment, or legal advice. NYROX is not authorised or regulated by the Financial Conduct Authority and does not provide regulated financial advice. You should seek qualified professional advice before making financial decisions based on audit output. We accept no liability for decisions made in reliance on audit-generated assessments.

10

Third-Party Services

The Service integrates with third-party providers: Stripe processes payments (subject to Stripe's terms), and LLM providers power the NYROX Audit feature. These third parties are independent controllers or processors of their own data and are governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

11

Changes to the Service

We may modify, suspend, or discontinue the Service, or any part of it, at any time. We will use reasonable efforts to provide notice of material changes or discontinuation. We are not liable to you for any modification, suspension, or discontinuance of the Service.

12

Changes to Terms

We may update these Terms from time to time. We will communicate material changes via email or in-app notification. For changes that are detrimental to existing users, we will seek your active consent rather than relying on continued use. For non-material changes, continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13

Limitation of Liability

NYROX is provided "as is" and "as available" without warranty of any kind, whether express or implied. To the maximum extent permitted by law: (a) we are not liable for loss of data, financial loss, or any indirect or consequential damages arising from your use of the Service; (b) our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amount you paid for the Lifetime Unlock, or £39, whichever is greater; (c) nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law. You are responsible for maintaining backups of your data (use the export feature) and keeping your password secure.

14

Termination

You may delete your account at any time. Account deletion permanently removes all associated encrypted data from our servers. We reserve the right to terminate or suspend accounts that violate these Terms or pose a security risk. Upon termination, all licences granted to you cease immediately.

15

Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. For any dispute arising from these Terms or the Service, you agree to first contact us at Info@nyroxapp.com and allow 30 days for resolution before initiating court proceedings. Subject to your mandatory consumer rights, the courts of England and Wales have exclusive jurisdiction over any disputes that cannot be resolved informally.

16

General

Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control. Assignment: You may not assign these Terms without our consent; we may assign them freely. Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. Severability: If any provision is found unenforceable, the remaining provisions remain in full effect. No waiver: Our failure to enforce a right does not constitute a waiver of that right.
